The story starts with the joining of a new English Teacher Rahul Prakash Udyavar (Shahid Kapoor) in Swaraswati Vidya Mandir school, situated in the outskirts of Mumbai Suburbs. The situation becomes so explosive that it eventually turns into a national issue. Paathshala tries to answer many questions that are related to the sanctity of today's education system. The high morals and basic ethics of the teachings have taken a back seat. Making more profit than ever has become a new mantra of education institutions. Chintu arrives with Devika Malhotra, his young and dynamic PR agent. He is a nuisance at Hadbahedi and treats the innocent people of Hadbahedi with contempt. Arun and Devika get along well, their romance blossoming, while ruthless Chintu is falling prey to the tempting monetary and political offer made by Triphala. The town by now has started getting the media and government's attention due to Chintu's stay in Hadbahedi. Chintu with the tempting offer from Triphala, on one side, and Arun-Devika with the townsfolk on the other are at the middle of a see-saw climax, while concurrently, Arun's past unfolds. more»

Brahmhdutt (Dilip Kumar), Premchand (Shafi Inamdar) and Mushtaq Ali Khan (Anupam Kher) have been the closest of friends. Against his wishes, Brahmhdutt's daughter Sonu marries a poor man Indrajeet Sabharwal, who is already married to Radhika and has a son Vijay, from the latter. Vijay takes off from home and grows up to be a dreaded Don in the city (Govinda). Indrajeet is given the post of a manager in a steel factory owned by Brahmhdutt and Premchand. Indrajeet first exterminates Premchand and indicts Brahmhdutt for the murder. Brahmhdutt is packed off to prison. Indrajeet now takes charge of Brahmhdutt's business empire and throws the latter's wife Sujata on to the streets. Not satisfied with the ill-gotten wealth, Indrajeet now wants to marry Premchand's only daughter and legal heiress Mohini (Madhuri Dixit) in order to usurp more wealth, but when she spurns him, he hires Vijay to wipe out her existence, little knowing that they are in love with each other. Brahmhdutt, in the meantime, completes his term in jail and on release sets about to reform Vijay.
